General provisions

The Lithuanian SEO Association is a public legal entity of limited civil liability, governed by Lithuanian law and these statutes. Its financial year is the calendar year, and it operates for an unlimited period.

Goals and functions

The association promotes the Lithuanian SEO community at home and abroad, supports members' professional development, builds a code of ethics and standards of conduct, unites members and represents their interests, encourages international cooperation, and works to raise the profession's standing — through seminars, conferences, community meetups, and policy input.

Members: rights and duties

Both individuals and legal entities may be members. Applicants complete an admission form, provide two references (from association members and/or clients of completed projects), and pay admission and annual fees after approval by the membership committee. Members appear in a public, regularly-updated member list with a photo/logo, description, and link to their website.

Members may participate in and vote at general meetings, stand for governing bodies, use association services and information, temporarily suspend membership, or withdraw at any time. In turn, members must follow the statutes and code of ethics, comply with governing body decisions, and pay fees on time.

Membership can be suspended for 1–2 years for good reason (e.g. parental leave, relocation abroad), subject to board approval. Members may resign at any time; fees already paid are not refunded. Membership can also end through removal by the general meeting or board, or automatically for non-payment.

Governing bodies

The highest body is the general meeting of members, which sets goals, elects the board, approves annual reports, and sets membership fees. The board is a collegial body of 4 members, one of whom is elected President by the board for up to two consecutive two-year terms; the President ties any 2–2 board vote. The board manages strategy, finances, membership admission and suspension decisions, and day-to-day governance between general meetings.

Other provisions

Funding comes from membership fees, donations, grants, and permitted commercial activity aligned with the association's goals. Financial oversight is carried out by a 2-member audit committee and, when required, external audit. Amendments to the statutes follow the procedure set out in the Law on Associations of the Republic of Lithuania.
